- Keep your password secure and confidential
- Notify us immediately of unauthorized account access
- Accept responsibility for all activities under your account

You are responsible for:
- All activities that occur under your account
- Maintaining the confidentiality of your password
- Restricting access to your account and devices
- Immediately notifying us of any security breach

Subscription and Payments
Pricing and Billing
- Subscription Plans: Available in monthly or annual billing cycles
- Free Trial: 14-day trial available for new users (credit card required)
- Billing: You'll be charged at the start of each billing period
- Auto-Renewal: Subscriptions auto-renew unless cancelled
- Price Changes: We may change prices with 30 days notice
Payment Methods

Cancellation and Refunds
Cancellation: Cancel anytime. Access continues until period ends.
Refunds: No refunds for partial months. 30-day money-back guarantee
on annual plans (first-time customers only).
Free Trial: Cancel during trial period to avoid charges.
Failed Payments
If payment fails, we'll retry. After multiple failures, your account may be suspended.
You remain responsible for outstanding charges.
User Content and Data
Your Content Ownership
You retain all rights to your business data, inventory records, customer information,
and other content you upload to BiznessBook ("User Content").
License to BiznessBook
You grant us a limited license to:
- Store and process your User Content to provide our services
- Create backups for data protection
- Generate analytics and insights from your data
- Display your content to you and authorized users
Your Responsibilities
You are responsible for:
- The accuracy and legality of your User Content
- Maintaining backups of critical data
- Ensuring you have rights to upload content
- Compliance with data protection laws
Acceptable Use Policy
You agree NOT to:

❌ Security Violations Attempt to breach security or access unauthorized areas
❌ Service Abuse Overwhelm systems or interfere with service operation
❌ Reverse Engineering Decompile, disassemble, or reverse engineer our software

❌ Reselling Resell or redistribute our services without permission
Violation of this policy may result in immediate account termination and legal action.

All intellectual property in BiznessBook—including software, design, trademarks, logos,
and documentation—is owned by BiznessBook or our licensors.
Your License
We grant you a limited, non-exclusive, non-transferable license to:
- Access and use our services for business purposes
- Use our mobile applications on your devices
- Access documentation and support materials
Restrictions
You may NOT:
- Copy, modify, or create derivative works
- Use our trademarks without written permission
- Remove copyright or proprietary notices
- License, sell, or transfer your access rights
Third-Party Services
BiznessBook integrates with third-party services (payment processors, analytics tools, etc.).
Your use of these services is subject to their own terms and conditions.

BiznessBook is provided "AS IS" and "AS AVAILABLE" without warranties of any kind,
either express or implied, including but not limited to warranties of merchantability,
fitness for a particular purpose, or non-infringement.
No Warranty For:
- Uninterrupted or error-free service
- Accuracy or reliability of content
- Correction of defects
- Freedom from viruses or harmful components
- Results from using our services
Some jurisdictions don't allow disclaimer of implied warranties, so some limitations
may not apply to you.
Limitation of Liability
MAXIMUM LIABILITY
BiznessBook's total liability is limited to the amount you paid us in the
12 months before the claim, or $100, whichever is greater.
We Are NOT Liable For:
- Indirect, incidental, or consequential damages
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Cost of substitute goods or services
- Business interruption
- Personal injury or property damage
This applies even if we've been advised of the possibility of such damages.
Exceptions
These limitations don't apply to:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Liability that cannot be limited by law
Indemnification
You agree to indemnify, defend, and hold harmless BiznessBook, its officers, directors,
employees, and agents from any claims, damages, losses, liabilities, and expenses
(including legal fees) arising from:
- Your use of BiznessBook services
- Your violation of these Terms
- Your violation of any rights of another party
- Your User Content
- Your business activities
We reserve the right to assume exclusive defense and control of any matter subject
to indemnification by you.
Privacy and Data Protection
Your privacy is important to us. Our Privacy Policy explains how we collect, use,
and protect your personal information.
By using BiznessBook, you consent to our data practices as described in the Privacy Policy.
Modifications to Terms
We may modify these Terms at any time. When we make material changes:
- We'll update the "Last Updated" date
- We'll notify you via email or in-app notification
- We'll provide 30 days notice for material changes
- Your continued use constitutes acceptance
If you don't agree to modified Terms, you must stop using BiznessBook and cancel
your subscription.
Term and Termination
By You
You may cancel your subscription anytime through account settings. Cancellation
is effective at the end of your current billing period.
By BiznessBook
We may suspend or terminate your account if you:
- Violate these Terms
- Fail to pay fees
- Engage in fraudulent activity
- Pose a security risk
- Use services in harmful ways
Effect of Termination
Upon termination:
- Your access to BiznessBook ends immediately
- You remain liable for outstanding fees
- We may delete your data after 90 days
- These Terms' applicable provisions survive termination
Data Export
Before cancellation, export your data. After account closure, we're not obligated
to maintain or provide your data.
Dispute Resolution
⚖️ Binding Arbitration
Most disputes will be resolved through binding arbitration instead of court.
Arbitration Agreement
You and BiznessBook agree to resolve disputes through binding arbitration, except:
- Small claims court actions (under $10,000)
- Intellectual property disputes
- Requests for injunctive relief
Arbitration Rules
- Administrator: American Arbitration Association (AAA)
- Rules: AAA's Commercial Arbitration Rules
- Location: Your county of residence or San Francisco, CA
- Costs: We'll pay AAA filing fees for claims under $10,000
- Decision: Binding and enforceable in court
Class Action Waiver
YOU AND BIZNESSBOOK AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL
BASIS. NO CLASS ACTIONS, CLASS ARBITRATIONS, OR REPRESENTATIVE ACTIONS ARE PERMITTED.
Opt-Out Right
You may opt out of arbitration within 30 days of account creation by emailing legal@biznessbook.com.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, USA, without regard
to conflict of law provisions.
For disputes not subject to arbitration, you agree to exclusive jurisdiction in
state and federal courts located in San Francisco County, California.
General Provisions
Entire Agreement
These Terms, together with our Privacy Policy and Cookie Policy, constitute the
entire agreement between you and BiznessBook.
Severability
If any provision is found unenforceable, the remaining provisions continue in full force.
Waiver
Our failure to enforce any right or provision doesn't constitute a waiver of that right.
Assignment
You may not assign these Terms without our written consent. We may assign our rights
and obligations without restriction.
Force Majeure
We're not liable for delays or failures due to circumstances beyond our reasonable control.
Export Control
You agree to comply with all applicable export and import control laws and regulations.
